On Thursday, Adobe and Semrush revealed that they have finalized an agreement for Adobe to purchase Semrush in an all-cash deal worth around $1.9 billion. Adobe will offer $12.00 per share, referring to Semrush as a "leading brand visibility platform."

The acquisition integrates a popular SEO platform into Adobe's Digital Experience division. The transaction is anticipated to finalize in the first half of 2026, pending regulatory and Semrush stockholder approvals.

Semrush, a Boston-based SaaS platform, is widely known for keyword research, site audits, competitive insights, and visibility tracking. Recently, it expanded into AI-driven enterprise tools and made several acquisitions, including Backlinko and Third Door Media. For Adobe, the deal brings powerful SEO capabilities directly into its Experience Cloud ecosystem.

Adobe plans to integrate Semrush with products like Adobe Experience Manager, Adobe Analytics, and its newer Brand Concierge offering. Adobe presents the agreement as a component of a larger plan to enhance 'brand visibility' in what it refers to as an era of agentic AI.

The Deal

Adobe will acquire Semrush for $12 per share in an all-cash deal valued at about $1.9 billion. The offer reflects a 77% premium, sending Semrush shares up over 70% after the announcement. Both companies’ boards have approved the merger, with the agreement signed on November 18.
